Executive Coaching Agreement

Please read the following document and, if you agree to the terms, sign and date in the space provided.

WHAT IS COACHING?

Coaching is partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process that inspires the client to maximize personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals. 

Coaching does NOT involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed.

DISCLAIMER

As a client, I understand and agree that I am fully responsible for my well-being during my coaching meetings, including the choices and decisions that I make. I am aware that I can choose to discontinue coaching at any time. FORMAT
We will begin with an initial consultation to gather basic information, discuss the process, and determine an action plan. After this, we will meet on a fixed meeting schedule. We may, if it is beneficial to you, utilize a variety of assessments to promote further self-understanding as you progress on your leadership journey. We will evaluate progress as we go and adjust the format for maximum effectiveness.

COACHING TERMS
  • This is an open-ended agreement that begins in November, 2025,. You will receive one 60-minute coaching session at an interview of your choice (no more than once weekly) once the formal coaching begins.
  • You will receive free email or text support as needed.
  • Fees: Fees are typically $225 per 60-minute session, but Larry has agreed to extend a rate of $10 per session. Please the code JSCOACH10 to access this special discounted price. Note: Please do not share this code with anyone.

The following guidelines and procedures are standard coaching practices in most coach-client agreements. We may have already discussed these informally, however, please take a moment to review the guidelines and policies, and please ask about anything that does not seem clear or fair. Understanding our expectations of one another will help us to enjoy a mutually rewarding experience and coach-client relationship.

FEES

Client pays the agreed upon fee on time unless prior arrangements have been made.

CONFIDENTIALITY

Our coaching conversations are confidential as defined by The International Coaching Federation Code of Ethics (link). Confidentiality guidelines will be discussed with you and any questions you have should be addressed with me.

PROCEDURE

As your coach, I will be prepared for your meeting or call at the time agreed upon. Therefore, clients are expected to be on time for our meetings or call on time. Please come to the meeting prepared to be coached and willing to let me know what your focus is. If applicable, please complete the "Coaching Prep Form" and email it to me at least one day before each meeting.

MEETINGS

Our agreement includes a set amount of meetings per month for a given number of months. If you or I are taking a vacation, it often works well to spend a few more minutes in our session before you or I leave on vacation and after you or I return.

CHANGES

I ask that my clients give me 24 hours notice if they have to cancel or reschedule a meeting. I recognize that sometimes a scheduled meeting may need to be rescheduled, and I make an effort to be flexible – but please notify me if we need to make a change & I will do the same for you if I need to reschedule (Meetings must be rescheduled within 21 days). If you have an emergency or illness, we will work around it. Otherwise a missed session is not made up. Refunds are not given for unused sessions or meetings not rescheduled within 21 days.

SUCCESS

In order for the coaching to be a success, it is necessary for the client to implement the actions and decisions resulting from the coaching session. You have taken the initiative to hire a coach as a first step toward doing things differently and more proactively than ever before. If you do not follow through between coaching sessions and keep doing what you have always done, you will likely get the results you have always gotten. Please remember that it's your decision to be in charge of designing and implementing your life plans & goals.

PROBLEMS

If I ever say or do something that upsets you or doesn’t feel right, please bring it up so we can discuss it. I promise to do what is necessary to have you feel satisfied and heard.

TERMINATION

Either of us may end the coaching relationship at any time, with one week verbal or written notice. I would like to ofer support to al the phases of your work with me as acoach, including when you decide to leave coaching. I can best support your decision to leave fi you give me several sessions' notice prior to actually leaving. The notice allows you to leave well, having an experience of completion.

NONDISCLORE & INTELLECTUAL PROPERTY

I will not voluntarily communicate your future plans, business strategy, customer information, or financial information to any other third party. To protect my intellectual property, you agree not to disperse or reuse the coaching materials I may give you, unless you have my written permission.

USE OF AI AND DOCUMENT STORAGE

To enhance your coaching experience, I may use secure, AI-powered tools (such as a notetaker in Zoom) to help generate session summaries, support progress tracking, or identify relevant themes from our coaching conversations. These tools are used solely to serve your development and are aligned with the confidentiality expectations set forth by the International Coaching Federation Code of Ethics. All documents, notes, and AI-generated summaries are stored in a secure, encrypted environment with restricted access. No personally identifiable information is shared with third parties outside of what is required for secure document storage or AI summarization. By engaging in this coaching relationship, you acknowledge and consent to the use of such tools for these limited, supportive purposes. If you have questions or concerns about these technologies, please don’t hesitate to ask.

EXTRA TIME

You may call me between scheduled sessions if a problem or special situation arises, you need advice, or you just can’t wait to share a win with me. You may also email me to share information or schedule a quick call. I enjoy delivering this extra level of service. I do not bill for additional time of this type, but I ask that you keep the extra calls to 5 or 10 minutes, please. When you leave a message, let me know if you want a call back or if you are just sharing. Email support between sessions is provided as part of our coaching agreement; I’ll commit to doing my best to get back to you within 48 hours (within 2 business days).

NON-HARM

You understand that as your coach, I provide a variety of services as listed above to assist you in achieving your goals. I do not guarantee, and will not be responsible for any damage or loss related to, our coaching sessions. I do not bear responsibility for any consequence and in no event shal be liable for any direct, indirect, incidental, special, or consequential damages relating directly or indirectly to any action or inaction that you take based on the services ofered, information provided, or other material obtained through our coaching.
